MSI REWARD PROGRAM

Welcome to the MSI Reward Program. The MSI Reward Program ("Program") is organized by Micro-Star International Co., Ltd. ("MSI," "we," or "us"), and is governed by https://account.msi.com/terms/services_terms_of_use . Additional Program specific details are enumerated below, and shall govern your participation in the Program. These Program terms and conditions shall be read in conjunction with the MSI Services Terms of Use (collectively, the "Terms") – Please read these Terms carefully.If the Program terms conflict with MSI’s Services Terms of Use, the Program terms shall govern but only to the extent such conflict applies towards the Program.

BY ACCESSING OR PARTICIPATING IN THE PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, OR ARE INELIGIBLE TO PARTICIPATE, PLEASE DO NOT ACCESS OR PARTICIPATE IN THE PROGRAM.

1. Changes and Additions to Terms & Conditions

   These Terms may be modified and updated in whole or by part, at any time at MSI’s sole discretion. Members may be informed by written notice. All modifications and updates shall become effective upon posting by MSI. A member’s continued access, use, or participation in the Program constitutes express agreement to such modifications or updates. Therefore, we encourage members to regularly check this website for updates and review these Terms. If a member objects to the modifications or updates, he/she shall immediately stop any access, use, or participation in the Program.

2. Eligibility
   1. To participate in the Program, you must meet the following preconditions:
      1. You are a natural person) and
      2. You are a regular consumer, and do not: i) operate as a business or organization of any type (including but not limited to sole proprietorship, partnership, corporation, limited liability company, or a studio); ii) operate on behalf of a business (eg. company IT or procurement staff); or iii) have affiliation with MSI or its partners. For clarification, MSI, MSI affiliates, subsidiaries, business partners, distributors, wholesaler, reseller, retailer, or agencies, and their respective employees are not eligible to register as an MSI Member; and
      3. You are at least 18 years old. Participants under 18 years old cannot register or participate in the Program or accrue any points or reward. Participants who are under the legal age in his/her country or territory must have their parent or legal guardian register on the minor’s behalf and provide supporting documentation evidencing the capacity to contract and express consent to these terms and conditions.
   2. Participation in the Program becomes active once the member completes his/her registration and expressly agrees to join the MSI Reward Program. The acceptance of the respective registration can take place by way of activation of the access to all respective MSI Reward Program channels, applications and products, or completing the required Program registration process.
   3. Multiple registration of the Program under different names is not permitted. Only one account is permitted per individual.
   4. Upon registration, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the registration form. The member shall communicate any changes to any provided information by duly updating his/her member profile.
   5. Any information you provide in connection with the Program shall be used in accordance with MSI’s Privacy Policy.
3. Earning Points & Rewards
   1. Eligible participating members who complete any Program assigned interactions, actions, content, tasks, and so on will be rewarded with corresponding points for their participation and patronage to MSI. Points earned can be used to redeem rewards from the Program platform. Some rewards require product registration before redemption – please see specific rewards page(s) for details.
   2. If Program points are granted as a reward for an interaction (e.g. for registration a product or referring a friend), MSI may wait until the interaction can no longer be rescinded (e.g. expiry of the right of revocation) before they are credited. Should the Program points be credited earlier, the potential to use them may be blocked and, if necessary, deleted should the interaction be rescinded for reasons for which the member is not responsible. In addition to earning points for purchases or interactions, members can also earn points for certain interactions with us. These include but are not limited to:
      • Create an Account bonus: When you first successfully register as a member of the Program. We will automatically credit your account with points to thank you for joining.
      • Complete Profile bonus: Members who submit their complete profile on the mobile app or website will earn additional points. This profile bonus can only be earned once. Subsequent changes to your profile will not be awarded points.
      • Friends Referral bonus: Successfully referring friends and family to this Program is a way to earn extra points. When posting your referral link on third-party websites like social media, you are required to comply with that Program’s terms of use, and you must disclose that you will receive a referral bonus for anyone who applies for.
      • Birthday bonus: Members will be eligible for birthday bonus points, which will be credited to their membership account if they log in to the Reward Program during their birthday month. Birthday bonus points will be awarded only once during a calendar year.
      • Product reviews bonus: Members can earn points by posting a review of registered products on assigned websites, App, or social media channels. In so doing, members hereby consent to their product reviews being publicly viewable so MSI can review, and if eligible, approve submitted reviews. A member can only submit a maximum of 2 reviews per month for point credit.
      • Eligible MSI products: Laptops, workstation, desktop, all-in-one PC, graphics card and motherboard chipsets needs to be within two generations of the newest CPU or GPU generation publicly available at the time of registration. If a MSI product has both a CPU and GPU, then the CPU is used for determining the generation requirement.
   3. Existing MSI Rewards account holders (members with a valid account before 31 Oct 2019) can start earning points from the day they migrate to the new MSI Reward Program. New members will earn points from the date they register for the Program. For both existing and new Program members, points will not be awarded for transactions and/or interactions that took place prior to the migration or registration date, as applicable.
   4. Points or any kind of rewards from the Program may only be used until the specified expiration date and only by the recipient of the reward via the applicable Program channels, applications and products.
   5. Program accounts, as well as rewards, cannot be transferred to any third parties, unless offered as such. Selling, sharing, or otherwise transferring Program accounts, points, or rewards to third parties in any other way is not permitted without MSI’s prior written approval.
   6. The following actions are prohibited under the Program for point collection, and are shown without limiting other restricted acts MSI may identify in the future:
      • Creating fake, forged, fraudulent, or impersonating email or social media accounts (e.g. Facebook, Twitter, Instagram)
      • Creating accounts on another individual’s behalf)
      • Use of automated scripts, codes, or procedures that goes against the character of a campaign requiring participant action(s) or to gain competitive advantages)
      • Providing forged or fraudulent documentation)
      • Committing criminal or illegal acts)
      • Using the Program for commercial purpose (eg. Raising money, advertising another product or service).
   7. If rewards can be exchanged under the Program for other reward programs or comparable reward points on MSI Reward Program channels, applications and products, then the regulations for the comparable program shall also apply.
4. Expiration of Points

   You are responsible for regularly checking your Program account and ensuring the accuracy of your Rewards points totals. Unless otherwise specified, all redeemable points will expire twelve (12) months following the later of the date on which you redeem your redeemable points. This period will always finish at the end of the month. Points are not transferable between members. Points have no cash value and cannot be paid out in cash.

5. Membership Tiers

   The number of points accrued per year, calculated starting from the date of a participant’s enrollment in MSI’s Reward Program, is used to determine your Program membership tier (“Membership Tier”). There are four Membership Tiers: Valid as of [July 7, 2021]

   Membership tiers carried over from 2020 will be adjusted upward or downward depending on whether accrued points exceed the new tier requirements. 2021 updated tiers will remain valid for one (1) calendar year, but may be upgraded at least once or more times during this calendar year. If upgraded, the highest Membership tier will be retained during the applicable calendar year. The Membership tier may be adjusted the following calendar year, as notified by MSI from time to time.

   We may, from time to time, offer rewards or other benefits that are exclusive to a specific Membership Tier. MSI reserves the right to modify, substitute, or otherwise change the number of Membership Tiers, the point thresholds for each Membership Tier, and the benefits pertaining to a specific Membership Tier from time to time, at its sole discretion. 6. Returning and Revoking Rewards
   1. The selection of the Program rewards and the determination of the MSI Reward Program required for obtaining a reward are subject to the discretion of MSI.
   2. Additional conditions and possible shipping costs may apply when obtaining a reward, which will be indicated in each individual case.
   3. Member shall at his/her own expense send back any rewards obtained while misusing or breaching the Program, Terms, or its applicable channels, applications or products . This does not affect the right of MSI Reward Program to claim damages.
   4. There is generally no option to revoke redeemed rewards. Program points are not considered a currency as points can neither be bought nor exchanged for money.
7. Member Obligations and Rules of Conduct
   1. The Program platform shall only and exclusively be used by its members for personal, non-commercial use. Any and all use of the Program for commercial purposes, especially for collecting information about other members, is not permitted without the approval of MSI.
   2. Each member shall duly keep his/her passwords secret and shall not make them known or available for use by any third parties. Shared use of a Program registration and shared collection of the Program by several persons is not permitted unless stated otherwise by approved in writing by MSI.
   3. Each Program member agrees and undertakes to abide by all applicable local, state, and international law, regulations, and rules. Accordingly, each Program member agrees and undertakes not to use or participate in the Program: (a) in a manner that violates any local, state, national, foreign, or international statute, regulation, rule, order, treaty, or other law (each a "Law")) (b) to stalk, harass, or harm another individual) (c) to impersonate any person or entity or otherwise misrepresent affiliation with a person or entity) (d) to interfere with or disrupt the Program, its services, and servers or networks connected to it) (e) to use any data mining, robots, or similar data gathering or extraction methods in connection with the Program or to any MSI server) or (f) to attempt to gain unauthorized access to any portion of the Program or any other accounts, computer systems, or networks connected to the Program or websites, whether through hacking, password mining, or any other means) (g) to probe, scan or test the vulnerability of the Services or any network connected to the Program, nor breach the security or authentication measures on the Program or any network connected to the Program. Program members may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Program, or any other customer of MSI, including any MSI account not owned by the member, to its source, or exploit the Program or any service or information made available or offered by or through the Program, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than the member’s own information, as provided for by the Program) (h) to take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Program or MSI’s systems or networks, or any systems or networks connected to the Program or to MSI) or (i) to use any device, software or routine to interfere or attempt to interfere with the proper working of the Program or any transaction being conducted on the Program, or with any other person’s use of the Program) (j) to take any action that is deceptive, misleading, fraudulent, threatening, abusive, libelous, invasive of another’s privacy, tortious, obscene, profane, or any action deemed in violation of the Terms) (k) to infringe any MSI and/or third party rights, including any patent, trademark, trade secret, copyright, right of publicity, privacy right, or any other right of a party) (l) to send or facilitate unauthorized or unsolicited advertising, junk, or bulk email, chain letters, or any form of lottery or gambling) (m) creation of Program accounts via automated means, or by false or misleading pretenses) (n) impersonating any person or entity, including employees or agents of MSI.
8. No Third Party Beneficiaries

   There are no third party beneficiaries under the Program. Only Program members may receive earned rewards for completing the applicable required interaction or actions.

9. Program Opt-Out and Termination
   1. A member may terminate his/her registration to the Program at any time without reason by unchecking the Program check box in the MSI member center MY PROFILE page.
   2. Termination of your Program account (either by you or by MSI) will result in the forfeiture of any redeemable points and rewards then associated with your Program account. If you later elect to reenroll in the Program, you will not have access to the redeemable points and/or rewards previously associated with your program account. Specifically, any reenrollment will reset your Program balance to zero (0) and you will start off at the bronze tier. You will still be able to review past reward redemption records prior to your Program opt out or termination.
   3. A member's MSI Reward Program balance will expire as soon as the termination and/or discontinuation of the Program becomes effective.
   4. MSI may terminate your Program account or revoke an entrant’s eligibility to participate in the Program due to: (a) abuse of the Program or breach of its terms) (b) failure to follow the Terms) (c) suspected illegal or fraudulent activity) (d) violation of any rule of conduct specified under the Terms or an applicable Program) (e) any other conduct deemed by MSI, in its sole discretion, to be an abuse or breach of the Program, to the detriment to MSI, its affiliates or subsidiaries, suppliers or customers.
   5. MSI reserves the sole, discretionary right to modify, suspend, or terminate any or all Program(s) in effect without prior notice, including without limitation: (a) members’ ability to earn points and rewards) (b) offer new or additional qualifying activities) (c) adjust reward values, amounts, and conversion requirements) (d) the Program Terms.
10. Privacy

    MSI’s Privacy Policy applies to use, participation, and provision the Program, and its terms are made a part of these Terms by incorporation by reference with full force and effect. Additionally, by participating in the Program, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Program may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted. Because of the international nature of MSI’s business, we transfer information within the MSI group, and to third party suppliers who help us provide the Program and related services to you for the purpose set forth in this Terms. Therefore, we may transfer information to locations that may have different laws and data protection compliance requirements than those applicable in the location you are located. Further details of how your information may be collected, used, and processed are detailed in MSI’s privacy policy.

11. Third Party Sites & Promotion

    The Program may link to other websites, services and/or applications on the Internet. These other services are not under MSI's control, and you acknowledge and agree that MSI is not responsible for the accuracy, legality, appropriateness or any other aspect of the content or function of such services. The inclusion of any such link does not imply endorsement of the website by MSI or any association with its operators. Additional or different terms and conditions and privacy/data use policies/statements may apply when you access and use such other websites.
