Welcome to MSI’s Member Center. Please read the following Member Center terms and conditions carefully before accessing or registering for an account with MSI’s Member Center. Please immediately stop using this website or registering for an account if you do not agree with any terms herein.

By accessing or registering for a MSI Member Center account, you (“Member”) agree to be bound by the terms and conditions.

1. Terms and Conditions Compliance
All Member shall strictly abide by these terms and conditions. In addition to these terms and conditions, if MSI’s website includes other services and their respective terms of service, Members shall be required to obey those additional terms of service.

2. Account Creation Eligibility
To register as an MSI Member, you must meet the following requirements:
(1) You are a natural person; and
(2) You are a regular consumer, do not: i) operate as a business or organization of any type (including but not limited to sole proprietorship, partnership, corporation, limited liability company, or a studio); ii) on behalf of a business (eg. company IT or procurement staff); or iii) have affiliation with MSI or its partners. For clarification, MSI, MSI affiliates, subsidiaries, business partners, distributors, wholesaler, reseller, retailer, or agencies, and their respective employees are not eligible to register as an MSI Member; and
(3) You are at least 13 years old. Participants who are under the legal age must have their parent or legal guardian register on the minor’s behalf and provide supporting documentation evidencing the capacity to contract and express consent to these terms and conditions.

3. Member Registration
Member shall truthfully provide the most current and complete personal information as prompted in the registration form. If there are any changes to your personal information (ie. Address or phone number), Members should immediately update their personal information on our website. MSI reserves the sole, discretionary right to suspend or terminate an account without notice in the event of any falsification or inaccuracy.

4. Member Personal Information Management
Members shall be personally liable and responsible for maintaining and safekeeping any and all MSI member account, password, and related personal information. Members shall not lease, rent, transfer, or otherwise disclose their account and/or account password to any third party. Please contact MSI immediately if you suspect your Member account has been compromised or accessed without permission.

5. Member Uploaded Content
(1) Members shall be fully and personally liable for any and all contents uploaded, published, transmitted on MSI’s websites.
(2) MSI shall not be liable for or be obligated to review or preview any content uploaded or otherwise provided by Member. Accordingly, MSI does not guarantee the reliability, accuracy, completeness, or quality of any uploaded content.
(3) Members shall not publicize, upload, post, send, and transmit any illegal content, threats, or content that are, or may be construed as, indecent, slander, pornography, fraudulent, damaging, racially discriminating, or infringing on the rights of third parties, including without limitation, intellectual property rights.
(4) Members agree to assume all risks when using any MSI websites.

6. Laws and Regulation
Members acknowledge and agree that the laws of Taiwan (R.O.C.) shall govern these terms and conditions. If Members use other international websites and/or services provided by MSI, Members may be required to abide by additional laws and regulations applicable for those additional websites and/or services.

7. Modification
(1) MSI reserves the sole, discretionary right to modify these terms and conditions at any time, without notice to Members, from time to time. Members are advised to check these terms and conditions periodically for updates. If Members do not agree with these terms and conditions, or any amendments thereof, please immediately cease using these MSI services or website. Continued use of any MSI service or website shall be deemed to be Member’s express consent to any modifications.
(2) Members shall be strictly prohibited from modifying these terms and conditions.

8. Website Management and Termination of Service
(1) Members may terminate their account or membership at any time by notifying the MSI website in writing.
(2) MSI holds all rights in managing this website and may in its sole discretion and without prior notice, terminate Members’ access to the website, block future access to the website, approve or deny any application for membership registration or any campaigns, terminate or modify any or all of the related service contents at any time, for any legitimate reason whatsoever, including if we determine that a Member has violated these terms and conditions. MSI and/or its associate businesses shall not be liable or responsible for any loss, damage, or inconvenience caused by the termination or action taken pursuant to these terms.
(3) Members acknowledge and agree that he/she shall not raise any claims or claims of loss or damages against MSI if MSI terminates any services herein without notice to Member according to these terms and conditions.
(4) MSI website and/or services may be suspended or terminated in the following circumstances:
a. Website equipment or telecommunications equipment failure;
b. Force majeure circumstances or natural disasters;
c. Maintenance or work performed on website or telecommunications equipment;
d. MSI adjustment of its businesses and/or services.

9. Advertising and Promotional Activities
Members are hereby informed that any and all commercial, advertising, or promotional activities offered through this website are provided by external third party advertising agents or product suppliers. MSI shall not be liable or responsible for reviewing any advertising or promotion content. In addition, Members agree that any and all communication and/or transaction between Members and advertisers, product suppliers, or third parties on this website shall be deemed in privity between such parties without any MSI or MSI website or service involvement. Accordingly, Members acknowledge and agree not to hold MSI and its affiliated companies or subsidiaries responsible or liable for any risk, loss, or damages incurred as the result of such third party transactions.

10. Member Data Safety
(1) MSI will not disclose Members’ personal information without such Member’s prior consent, except: a) as required by laws and regulations; b) by order of a court or competent governmental authority; c) to protect the rights and goodwill of MSI and its affiliated website and services.
(2) MSI may ask for a Member’s name, email, birthday, gender, postal code, profession, or personal interests when registering for an account or a product in order to provide a more accurate personalized service. In addition, the MSI website server will record some basic web browsing data during registration or use of the website in order for the website to provide service to you, which may include personalized services, newsletters, latest news, trial downloads, etc. All MSI websites operated by MSI, its affiliated companies, or partners will collect, process, store, transmit, and use Member information, including localization, regional, process data, Internet usage behavior, Member statistics, survey data and related information within a reasonable period for the purpose of providing information, service, surveys, statistical analysis, internal evaluation, and conducting investigation and legal compliance purposes. Pursuant to the Personal Data Protection Law of Taiwan, R.O.C., Members may exercise the right to request for: i) information; ii) personal data usage record; iii) information correction or supplementation; iv) cessation of collection, processing, or use of personal information; or v) deletion of personal information. Members should contact MSI’s customer service in order to exercise these rights.
(3) Members acknowledge and agree to MSI’s collection, processing, and use of Member information for the purposes and within the scope as described in the provision above.
(4) Members understand that despite MSI’s exercise of reasonable commercial efforts to ensure the safety and protection of Members’ personal information on this website and other MSI websites, the transmission of information over the Internet may not be fully secure. Accordingly, Members are hereby advised to evaluate and assume any inherent risks associated with any data transmission.

11. Limitation of Liability
(1) All MSI websites and services are provided on an “as is” and “as available” basis with all faults. MSI expressly disclaims that its websites and/or services will operate continuously, safely, stably, error and issue free. MSI disclaims all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability, and fitness for a particular purpose. MSI disclaims any and all liability for: i) the acts, omissions, and conduct arising from Members’ use of MSI’s websites and/or services; ii) the interruption, delay, or failure to transmit or relay information or data, including causes due to the acts or omissions of third parties. Members’ sole remedy against MSI for dissatisfaction with the website or services or any content is to stop using the website, service, or content.
(2) MSI and its affiliates and subsidiaries shall not be responsible or liable for any content placed on the website by third party advertisers or merchants.
(3) In consideration of the limitation of liability provision set forth above, for any liability that cannot be disclaimed by law, MSI and its affiliate and subsidiaries’ total aggregate liability arising under these terms and conditions for any website or services shall be limited to a maximum of one thousand New Taiwan Dollars (NT$1,000), or the purchase value of the applicable MSI product, whichever is the higher.
(4) Member Liability. If MSI or its affiliate and subsidiaries are subject to third party claims due to Members’ violation of these terms and conditions, or applicable laws and regulations, Member shall indemnify and hold MSI harmless from any such arising liability, costs, expense, and damages, including without limitation, reasonable attorney’s fees.

12. Third Party Links
MSI websites or services may include Internet link(s) to third party website(s). Links on MSI websites are provided for Members’ convenience and reference. Members acknowledge and agree that MSI cannot control the contents and information of linked third party website(s). MSI cannot guarantee the accuracy, correctness, and reliability of such third party link or content. Accordingly, MSI shall not be liable for any direct or indirect liability associated with or arising from any third party link and/or content.

13. Intellectual Properties
Title to and interest in any and all logos, images, photos, files, illustrations, software, or relevant information on MSI websites are exclusively owned by MSI or its licensors. Members shall not duplicate, reproduce, transfer, modify or edit any content on MSI’s website in any way, on behalf of, or for the benefit of any third party or individual without MSI or its licensor's prior written consent.

14. Miscellaneous
(1) This terms and condition is governed by the laws of Taiwan, R.O.C., regardless of conflict of law principles.
(2) If any of the part of these terms and conditions becomes invalidated by a competent court, the remaining terms shall not be affected, and shall continue with full force and effect.
(3) In the event of any dispute arising out of or in connection with these terms and conditions, Members agree that the Taipei District Court in Taipei, Taiwan, shall serve as the court of first instance.
